Introduction

These Terms and Conditions ("Terms") govern your access to and use of the AgentBase platform, website, and related services (collectively, the "Services"). By creating an account, accessing the platform, or using any part of the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Services.

AgentBase LLC ("AgentBase," "we," "us," or "our") is a United States–based software company that provides recruiting automation software and related services on a software-as-a-service (SaaS) basis.

Use of the Services

Subject to your compliance with these Terms and any applicable order form or subscription plan, AgentBase grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized access or use.

You are responsible for ensuring that your use of the Services complies with all applicable laws, including employment, data protection, and communication regulations.

Prohibited Uses

You agree not to use the Services in any way that is unlawful, harmful, abusive, or disruptive. This includes, but is not limited to, using the Services to send unsolicited communications, attempt to bypass usage limits, reverse engineer the platform, access accounts without authorization, resell or sublicense the Services, or use the Services to develop competing products.

Subscription Fees and Payment

Access to the Services requires payment of the applicable subscription fees as outlined in your selected plan, order form, or product portal. Fees are billed in advance and are non-refundable unless otherwise stated in writing.

Failure to pay fees when due may result in suspension or termination of access to the Services. AgentBase reserves the right to modify pricing with reasonable advance notice.

Term and Renewal

Subscriptions are provided for the term specified at the time of purchase and may automatically renew unless canceled in accordance with the cancellation terms provided in your account or order form.

Service Availability

AgentBase uses commercially reasonable efforts to maintain platform availability but does not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or factors outside of our control.

Third-Party Services and Integrations

The Services may integrate with or rely on third-party platforms, tools, or services. AgentBase is not responsible for third-party services and does not guarantee their availability, accuracy, or performance. Your use of third-party services is subject to their respective terms.

Artificial Intelligence Features

Certain features of the Services may use artificial intelligence or automated decision-support technologies. Outputs generated by AI are provided for informational purposes only and may not be accurate, complete, or suitable for all use cases. You are responsible for reviewing and verifying AI-generated outputs before relying on them for business decisions.

Intellectual Property

All intellectual property rights in the Services, including software, content, trademarks, and documentation, are owned by AgentBase or its licensors. These Terms do not grant you any ownership rights in the Services.

Data and Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect and process personal data. By using the Services, you consent to our data practices as described in the Privacy Policy.

Warranties and Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, AgentBase disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, AgentBase shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to your use of the Services. AgentBase’s total liability shall not exceed the fees paid by you to AgentBase in the twelve (12) months preceding the claim.

Termination

AgentBase may suspend or terminate your access to the Services if you breach these Terms, fail to pay applicable fees, or use the Services in a manner that creates legal or operational risk. Upon termination, your right to use the Services will immediately cease.

Force Majeure

AgentBase shall not be liable for delays or failures caused by events beyond its reasonable control, including acts of God, internet outages, labor disputes, or governmental actions.

Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page and will become effective upon posting. Continued use of the Services after changes constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the State in which AgentBase LLC is registered, without regard to conflict of law principles.
